Terms of Service

1. Agreement to Terms

By creating an account or accessing the Soba application ("App") provided by VERMILION SUNRISE LIMITED ("we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Eligibility

You must be at least 18 years old to use Soba. By creating an account, you represent and warrant that you are 18 years of age or older. We do not permit users under the age of 18 to use the App under any circumstances.

3. User Accounts and Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate and complete information during registration.
• You are responsible for all activities that occur under your account.

4. User-Generated Content (UGC)

License Grant

You retain ownership of your UGC. By posting content, you grant us a worldwide, royalty-free, sublicensable, and transferable license to host, use, modify, and display that content to operate, promote, and improve the App and our services.

Your Responsibilities

You are solely responsible for your UGC. You agree not to post, upload, or share content that:

• Is illegal, pornographic, or promotes violence or hate speech.
• Infringes upon any third party's intellectual property, privacy, or other rights.
• Is deceptive, fraudulent, or intended to harass or bully others.

Content Moderation

We reserve the right (but not the obligation) to monitor, review, and remove any UGC that we, in our sole discretion, determine violates these Terms.

• Soba may offer virtual goods or features for purchase via Apple App Store and Google Play.
• All purchases are final and non-refundable, as permitted by the respective platform policies, unless otherwise required by local law.

7. Intellectual Property

The App, including its design, text, graphics, logos, and source code, is our intellectual property. You may not copy, modify, or create derivative works without our express permission.

8. Termination

We may suspend or terminate your account and access to the App at our sole discretion if you violate these Terms. Upon termination, you must cease all use of the App.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the App, your UGC, or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Hong Kong. Any disputes shall be resolved in the courts of Hong Kong.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes. Continued use of the App after changes constitutes your acceptance of the new Terms.
